Types of Companies in Andorra

                                      Limited Liability Company (Societat Limitada - SL)

Ideal for small and medium-sized enterprises, this structure offers limited liability protection to its shareholders. Key features include:

Minimum Share Capital: €3,000.

Shareholders: Can be established by a single individual (Sole Proprietorship - SLU) or multiple shareholders.

Liability: Shareholders' liability is limited to their capital contribution.

                                      Public Limited Company (Societat Anònima - SA)

Suited for larger businesses or those requiring substantial capital investment. Key features include:

Minimum Share Capital: €60,000.

Shareholders: Can be formed by one or more individuals or entities.

Liability: Shareholders' liability is limited to their shareholding.

                                                                               SICAV

A SICAV is a flexible investment vehicle designed for collective investment, combining features of investment funds and public limited companies. Key aspects include:

Minimum Capital: 

               General SICAVs require a minimum capital of €1,250,000

               For SICAVs investing primarily in real estate, the minimum capital increases to €6,000,000

Taxation: SICAVs benefit from a 0% corporate tax rate.

Confidentiality: Shareholders' identities are kept confidential, as their names do not appear in the public company register.

Shareholding Restrictions: Non-residents of Andorra are limited to holding a maximum of 50% of a SICAV's shares.

Regulation and Management:

                SICAVs are supervised by the Autoritat Financera Andorrana (AFA). 

                They are typically managed through local banks and are subject to regular reporting and                    auditing requirements.

Allows foreign companies to operate in Andorra without creating a separate legal entity. Key features include:

Legal Status: Acts as an extension of the parent company.

Liability: The parent company holds full liability for the branch's operations.

Registration: Must be registered with the Andorran authorities and comply with local regulations.

Foreign Ownership: Since 2012, Andorra permits up to 100% foreign ownership in companies, subject to government approval.
